1. License Grant

RactStudio ("Licensor") hereby grants the Client ("Licensee") a non-exclusive, non-transferable license to use the custom software deliverables provided under the terms of the specific project agreement.

2. Proprietary Components

The software may contain certain proprietary frameworks, libraries, or tools owned by RactStudio. For these components, RactStudio grants a perpetual, royalty-free, non-exclusive license for use within the context of the delivered software.

3. Restrictions

Unless otherwise agreed in writing, the Licensee may not:

• Sublicense, sell, or distribute RactStudio's proprietary components independently from the custom deliverables.
• Decompile or reverse engineer any part of the proprietary components.
• Remove any copyright or trademark notices included in the software.

4. Source Code

Ownership and access to the source code for custom-developed features will be transferred to the Licensee upon final delivery and receipt of total project fees, subject to the retained rights of RactStudio over its proprietary background technology.

5. Warranty and Support

Licensor warrants that the software will perform substantially in accordance with the specifications for a period defined in the service agreement from the date of final delivery.
